StemCells Raises $22.5 Million in New Equity Financing

PALO ALTO, Calif.--(BUSINESS WIRE)--Oct. 26, 2004--StemCells, Inc. (Nasdaq:STEM) announced today that it has entered into definitive agreements with institutional investors with respect to the registered direct placement of 7,500,000 shares of its common stock at a purchase price of $3.00 per share, for gross proceeds of approximately $22,500,000. C.E. Unterberg, Towbin, LLC and Shoreline Pacific, LLC served as placement agents for the transaction.

The transaction is expected to be consummated within the next few days following satisfaction of certain customary closing conditions contained in the definitive transaction agreements.

StemCells sold these shares under a shelf registration statement previously filed with and declared effective by the U.S. Securities and Exchange Commission.
